In Brief (OCTOBER 2013)

1) Allen & Overy LLP advised J.P. Morgan Securities plc in connection with the capital increase of MorphoSys AG raising gross proceeds of approximately EUR 84 million in a private placement via an accelerated book building procedure. MorphoSys AG issues 1,514,066 new shares from authorised capital to international institutional investors at a price of EUR 55.76 per share. The offering represents approximately 6.3 per cent of the registered pre-transaction share capital of MorphoSys AG. 

2) Clifford Chance, Sullivan & Cromwell and Freshfields Bruckhaus Deringer have taken lead roles on Barclays’ bumper £5.8bn rights issue – the world’s largest rights issue by a bank since 2009. The cash call follows demand from the Bank of England’s Prudential Regulation Authority that Barclays find £12.8m to cushion the high street bank against potential financial shocks. 

3) White & Case and Norton Rose Fulbright have advised on the Republic of Indonesia's (ROI's) latest sukuk offering of USD1.5bn. This is the largest ever issuance of Shariah-compliant securities by the country, and part of a government-led initiative to boost its foreign-exchange reserves and promote Islamic finance in the region. White & Case acted for Indonesia on the transaction, with a team led by capital markets partner Sean Johnson in Abu Dhabi. Norton Rose Fulbright represented the joint lead managers on the issuance, which included banks Deutsche, Citigroup Global Markets and Standard Chartered.
