Galadari advises OpenGate Capital on acquisition of Total Safety EMEA division

Galadari Advocates & Legal Consultants acted as lead MENA counsel to OpenGate Capital on its acquisition of the Europe, Middle East and Africa (EMEA) division of Total Safety, a premier international industrial safety solutions provider.

The transaction involved a complex, multi-jurisdictional carve-out spanning several jurisdictions, with Galadari taking the lead across the Middle East and North Africa, coordinating legal workstreams and local counsel across the UAE, Saudi Arabia, Qatar, Oman, Tunisia and Bahrain through its extensive regional network, while leading the primary UAE workstream. The firm conducted jurisdiction-specific due diligence, advised on regulatory and implementation matters, managed the review of core transaction documentation, and oversaw local transfer arrangements.

“This transaction highlights the increasing sophistication of cross-border private equity investments involving the MENA region and demonstrates the value of coordinated regional execution across multiple jurisdictions,” said senior partner Bassem Daher, who led the firm’s deal team. “We were delighted to support OpenGate Capital on this strategic acquisition and to help navigate the legal, regulatory and implementation aspects of the transaction across the region.”

OpenGate Capital is a New York-based global private equity firm focused on acquiring and building market-leading businesses worldwide. The acquisition of Total Safety’s EMEA division forms part of OpenGate Capital’s continued investment strategy in industrial and business services sectors.

The Galadari team led by senior partner Bassem Daher, partner and head of corporate commercial Charbel Fadel, and senior associate Baqar Palavandishvili, acting as lead associate, was further assisted by senior associate Faizan Daud, associate Omar Zayed, junior associate Paul Baloukjy and Brenda Lee DeBraun, and on the IP front Raka Roy, partner and head of IP & Data Protection and paralegal Yusur Dalloul.
