BonelliErede advises Kerakoll acquiring PAC Technologies in Dubai

BonelliErede advised Kerakoll, a B Corp certified Benefit company operating internationally in the construction sector, in the acquisition of 100% of the share capital of PAC Technologies LLC, based in Dubai – United Arab Emirates. The agreement has been signed with International Development Company LLC, PAC Technologies LTD BVI and Mr Michel Edmond Nachef, the founder of PAC.

PAC is a company specialised since 2007 in the development, production and sale of cement grinding aids, concrete admixtures and construction chemicals, as well as powder-base and liquid-base construction materials. It currently manages one production plant located in Dubai Industrial City, which supplies the UAE and other countries in the region. The acquisition of PAC marks a further step forward in Kerakoll internationalization trajectory, in a region that offers important opportunities with a robust demand of high-end solutions.

BonelliErede assisted Kerakoll in its strategic investment in the United Arab Emirates, overseeing all phases of the transaction – from the due diligence process through to the completion of the acquisition – with a Corporate/M&A team led by Marco De Leo, managing partner of the Dubai office, and Stefano Micheli, partner of the Milan office. The team was primarily composed of lawyers from BonelliErede’s Dubai office: senior associate Francesco Martello and associates Sami Moacdieh and Nadine Noaman.

For antitrust matters, a dedicated team was involved, comprising partner Francesco Anglani and managing associate Pasquale Leone.
