Clyde & Co advises Esyasoft on strategic acquisition of Correla

Clyde & Co has advised Esyasoft Holding Ltd on its acquisition of 100 per cent of the share capital of Project Corvalis TopCo Limited. Through its subsidiaries, the target indirectly owns 100 per cent of the shares in Correla Limited and the wider Correla group in the United Kingdom.

This transaction is a significant milestone for Esyasoft. The acquisition supports its growth strategy and strengthens its position as a technology and services partner to the utilities sector by combining Correla’s expertise in data, technology and managed services for the UK energy market with Esyasoft’s engineering, digital and technology capabilities.

Clyde & Co provided comprehensive legal support across all legal matters including due diligence, transaction document review, share purchase agreement negotiations, W&I policy review, and regulatory approvals and merger control / FDI reviews, ensuring a seamless process for Esyasoft.

The deal was led by corporate partner Roshanak Bassiri Gharb in Dubai, with Partner Sameh Dahroug assisting, supported by Associate Mohamed ElHossamy, and a core team of M&A lawyers based in the Middle East.
