Google turns to Cleary as it creates new Alphabet company

Cleary Gottlieb Steen & Hamilton has won the top role advising on Google’s corporate reorganisation and the creation of a new parent company called Alphabet, according to The Lawyer.
Corporate partners Ethan Klingsberg, Pam Marcogliese and Glenn McGrory worked with the company in New York, along with fellow partners Len Jacoby and Yaron Reich handling IP and tax respectively. Partner Richard Sultman also advised from London working on corporate taxation matters.
Under the reorganisation, Alphabet will replace Google as the publicly-traded entity and all shares of Google will automatically convert into the same number of shares of Alphabet.
Alphabet’s CEO Larry Page said the new structure will help the company to focus on the opportunities it has inside of Google, but Google will continue to retain businesses such as YouTube and Android. Google’s current corporate development, chief legal officer and secretary David Drummond will carry out the same role for Alphabet.
