TLA advises Beehive on majority investment in Themar Al Aamal Commercial Company

Tribonian Law Advisors (TLA) has advised Beehive Group Holdings Limited, an e& enterprise company (Beehive), on its strategic subscription for a majority stake in Themar Al Aamal Commercial Company LLC (“Themar”), a Saudi holding company active in the debt crowdfunding sector in the Kingdom of Saudi Arabia.

The transaction combines Beehive’s regional fintech capabilities and experience in the Saudi market with Themar’s SAMA-licensed debt crowdfunding platform, with the objective of creating a single, scaled platform positioned for further growth in the Kingdom.

Following completion, Themar’s founders, Yousef Aldabbagh and Amer Siddiki, will remain actively involved in the business, ensuring continuity and supporting the next phase of its development.

Beehive has been active in KSA since 2020 through partnerships with local banks and has identified this transaction as a key opportunity to establish a fully scaled, regulated platform in the market. The investment reflects Beehive’s continued expansion in KSA and its broader strategy to strengthen its presence in SME financing and debt crowdfunding across the region.

Commenting on the transaction, Emile Boulos, partner at TLA, said, “We are proud to have advised Beehive on this transaction, which reflects a clear strategic step in strengthening its presence in the Saudi market. It has been a pleasure supporting the team on a deal that brings together strong local capabilities and regional fintech expertise to build a scalable platform for future growth.”

Rindala Beydoun, managing partner at TLA, said, “We are pleased to have acted for Beehive on this transaction. This matter reflects the depth of TLA’s experience in advising on cross-border investments in regulated sectors, and our continued commitment to supporting clients in executing their regional expansion strategies.”

The TLA team advising on the transaction was led by partner Emile Boulos, assisted by the associates Veronica Colombo and Gaelle El Haiby.
